Terms and Conditions
1. INTRODUCTION
By registering an account on the website https://affiliates.wiz-partners.com/signup.php (the “Website”) you hereby acknowledge and agree that you have read, understood, and agree that you are bound by terms of Wiz-Partners Affiliate Program (the “Affiliate Program”).
By completing an application to join the Affiliate Program you are subject to Wiz-Partners approval of your application and agree to the terms and conditions of this Agreement. If you do not agree to the following terms and conditions, you should discontinue your application.
Wiz-Partners reserves the right to change, amend or modify the terms and conditions for any reason. If the Affiliate does not agree with any new version, they shall terminate the Agreement. This Agreement replaces all previous terms and conditions relating to the Affiliate Program or any previous affiliate program offered by Wiz-Partners. You agree that this Agreement supersedes all previous agreements you have had with Wiz-Partners.
The digital acceptance of this Agreement through the interface of the affiliate tracking software and/or the Affiliate’s continued participation in the Affiliate Program, including but not limited to acceptance of any commissions from the Company, after such digital acceptance is deemed to have been received under this Agreement, will always be deemed as a binding irrevocable acceptance of the new terms and conditions and/or other changes in the Affiliate Program.
2. DEFINITIONS
- “Affiliate” means a partner who has signed up to the Wiz-Partners program in order to promote brands through Affiliate’s links.
- “Affiliate Payment” means any Revenue Share, Hybrid Payments, CPA Payments and/or fixed fee commissions.
- “Affiliate Program” means the affiliate program offered by Wiz-Partners whereby the Affiliate agrees to promote and advertise brands and products in return for Commission paid in accordance with this Agreement.
- “Application” means your application to join the Affiliate Program via the Affiliate Program Site.
- “Business Day” means any day from Monday to Friday 8am to 5pm GMT (excluding Saturdays and Sundays) which is not an official public holiday.
- “CPA Payments” means the CPA reward payments described in clause 4.5.
- “Commencement Date” means the date on which Wiz-Partners confirms that your application to join the Affiliate Program has been accepted.
- “Confidential Information” means all information in any form relating to a party (and any Group Company in the case of Wiz-Partners) (the “Disclosing Party”) that is directly or indirectly disclosed to the other party (the “Receiving Party), including any personal data and/or customer data, by any of the Disclosing Party’s employees, professional advisers or contractors before or after the Commencement Date.
- “Customers” refers to a user who satisfies each of the following:
- (i) is a new end user who originates from your Tracking Code via your website, email newsletter or other method acknowledged and approved by us;
- (ii) uses the tracking mechanism connected to a Site and registers with that Site; and
- (iii) opens a player account as a result of registering with the Site.
- “Good Industry Practice” means the exercise of that degree of skill, diligence, prudence and foresight which would reasonably and ordinarily be expected from a skilled and experienced contractor acting in good faith.
- “Hybrid Payment” means the hybrid payments described in clause 4.6.
- “Immediate family” means your spouse, partner, parent, child or sibling.
- “Internet Site” means your website or websites located at the web address(es) provided to Wiz-Partners in your Application or subsequently changed from time to time and notified to Wiz-Partners via the Affiliate Program Site.
- “IPR” means any and all patents, trademarks, service marks, rights in designs (including semi-conductor topography design rights and circuit layout rights), get-up, trade, business or domain names, goodwill associated with the foregoing, email address names, copyright including rights in computer software (in both source and object code) and rights in databases (in each case whether registered or not and any applications to register and rights to apply for registration of any of the foregoing), rights in inventions and web-formatting scripts (including HTML and XML scripts), know-how, trade secrets and other intellectual property rights which may now or in the future subsist in any part of the world including all rights of reversion and the right to sue for and recover damages for past infringements.
- “Site(s)” means any brands, or websites, that participate in the Wiz-Partners Program. As part of Wiz-Partners efforts to maintain the integrity of the Properties’ Sites, all websites deemed a copy of any of the Properties’ Sites, including and not limited to the Sites below, will be asked to remove all suspect/plagiarized content. A website will be classed as having enough similar content to jeopardize a Site in any of the search engines if there is as little as 15% copied content.
Should the copy not be updated within 5 working days, your Affiliate Account and all referral fee payments will be suspended pending review of the situation. - “Net Gaming Revenue” means total winnings from Customers (stakes received less winnings paid out and bonuses) generated via the brands that fall under the Wiz-Partners program, less any jackpot contributions, adjustments made for any credit card charge-backs or any other reversal of a payment, fraudulent or otherwise voided or modified transactions, bad debt, and liability to any betting duty or licensing fees for data or other duty, tax or expense that may arise.
- “Parties” means the parties to this Agreement.
- “Revenue Share” means a percentage of the Net Gaming Revenue awarded to an Affiliate as compensation for the successful registration and deposit of funds of a Customer referred by the Affiliate. For the avoidance of doubt, the Revenue Share is only applicable to the Site that Customer has created an account and deposited funds.
- “Tracking Links” means hypertext links (either a banner or text link) generated from the affiliate platform, that link to the Sites or any other website owned or controlled by Wiz-partners.
In this Agreement (except where the context requires otherwise) any phrase introduced by the terms including, in particular or any similar expression shall be construed as illustrative and shall not limit the sense of words preceding those terms; the singular includes the plural and vice versa; and reference to a statute or statutory provision is reference to that statute or statutory provision and to all orders, regulations, instruments or other subordinate legislation made under the relevant statute.
3. GRANT OF RIGHTS
In consideration of you making the Sites available on the Internet Site and subject to the terms and conditions of this Agreement, Wiz-Partners will procure that you are granted a non-exclusive, non-transferable, terminable licence to use the Sites on the Internet Site solely for your internal business purposes and in accordance with such other limitations and restrictions as set out in this Agreement.
4. QUALIFYING CONDITIONS
- Affiliates must have their account reviewed and approved before promoting the Sites. If the account has not been approved, commission will not be paid. The approval process requires the Affiliate to provide Wiz-Partners with a list of all the channels that will be used to promote the company website. You acknowledge and understand that Sites are licensed and regulated and therefore obligated to follow regulatory requirements and local advertising regulations. If an Affiliate is found to be in breach of any regulatory requirements or local advertising regulations, we reserve the right to terminate that Affiliate with immediate effect.
- The Affiliate shall not target any person who is under the legal age for gambling, nor target any restricted jurisdictions where gambling and the promotion thereof are illegal.
- The Affiliate may not be under 18 years of age; and he/she is obliged to provide us upon request a copy of his/her ID or passport.
It is a condition of this Agreement that you will not do any of the following:
- display the Sites other than on the Internet Site;
- display the Code in any offline media without Wiz-Partners’ prior written approval;
- display data from the Sites via any electronically accessible medium other than the Internet Site without the expressed written consent of Wiz-Partners;
- do anything that would cause Wiz-Partners to believe that a Customer has clicked through the Sites to register for an account when that is not the case, sometimes known as ‘cookie stuffing’; and/or use the Sites or Code in a way which proves or is likely to prove detrimental to Wiz-Partners.
5. AFFILIATE’S WARRANTIES
You warrant and undertake that:
- you have full capacity and authority to enter into this Agreement and any other documents executed by you that may be associated with this Agreement;
- you will provide KYC documents both upon Wiz-Partners’ request and for the purposes of receiving payments. Payments will only be made once KYC documents have been fully provided by you;
- you will at all times conduct yourself with all due skill, care and diligence, including Good Industry Practice, and in accordance with your own established procedures and all applicable laws, enactments, orders, regulations and other similar instruments;
- you will comply with Wiz-Partners’ security guidelines and requirements as may be issued by Wiz-Partners from time to time whether in writing or otherwise;
- all information you provided in your Application is correct and that you will notify Wiz-Partners promptly of any changes;
- you will promptly change the address of the Internet Site on request by Wiz-Partners;
- you will ensure and be responsible that the content displayed on the Internet Sites is correct, accurate and up-to-date. In any event, the content should not be misleading, inaccurate and out-dated. In such an event, Wiz-Partners shall have the right to terminate the Agreement in accordance with clause 12.2;
- you will immediately cease to promote and remove any content related to a specific brand or Site upon request by Wiz-Partners. If you fail to take the relevant actions, Wiz-Partners reserves the right to withhold and/or permanently forfeit any unpaid commissions or earnings accrued by the promotion of this brand;
- you will keep secret and not allow anyone else to use your login and password details for the Affiliate Program Site;
- the Site links will not be placed on any part of the Internet Site which may be aimed at people under 18 years of age;
- you will not directly or indirectly offer any potential Affiliate or Sub-Affiliate any incentive (including payment of money or other benefit) to use the Sites or Code;
- you have obtained and will maintain in force all necessary registrations, authorisations, consents and licenses to enable you to fulfil your obligations under this Agreement and that you will fully comply with all applicable laws and regulations including any advertising codes;
- the Internet Site will not contain any material which is defamatory, violent, pornographic, unlawful, threatening, obscene or racially, ethnically, or otherwise discriminatory or in breach of any third-party rights and shall not link to any such material;
- you shall ensure that content displayed on the Internet Site reflects the following mandatory items;
- you will carry out customer acquisition as long as you are an active member of the Affiliate Program. The Affiliate Payments established by the provisions herein may be the subject for revision from the side of the Affiliate Program under any of the below circumstances: you substantially reduce your efforts to promote the Sites in the Affiliate Program’s sole discretion, and/or the existing Deal results in a financial loss to the Company, and/or the event of legal/regulatory changes to a market. Should you fail to bring any new paying customers for a period of 90 (ninety) days, your account will be deemed Dormant, will be closed and your agreement with the Affiliate Program will be terminated;
- you will not register any domain names or register keywords, search terms or other identifiers for use in any search engine, portal, sponsored advertising service or other search or referral service that incorporate terms which are identical or similar to ‘Wiz-Partners’ or any other trademarks owned by Wiz-Partners and you will at all times comply with such reasonable guidelines for the use of such trademarks as may be issued from time to time. Wiz-Partners’ decision on whether any marketing is in breach of this clause shall be final and there shall lie no appeal from such decision.
You agree that:
- Wiz-Partners has the right to request KYC documents at any time at its discretion;
- you or your Immediate Family may not become Customers and you shall not be entitled to any payment under this Agreement in relation to such persons. In such case, Wiz-Partners shall have the right, at its sole discretion, to terminate this Agreement in accordance with clause 12.2;
- Wiz-Partners may monitor the Internet Site to ensure you are complying with the terms of this Agreement and you will provide Wiz-Partners with all data and information – including passwords – to enable Wiz-Partners to perform such monitoring at no cost to Wiz-Partners;
- all Customer data and information shall belong exclusively to Wiz-Partners.
You warrant that:
- you are not and have never been engaged in any activity, practice or conduct which would constitute an offence;
- you have not been the subject of any investigation, inquiry or enforcement proceedings by any governmental, administrative or regulatory body or any customer regarding any offence or alleged offence, and no such investigation, inquiry or proceedings have been threatened or are pending and there are no circumstances likely to give rise to any such investigation, inquiry or proceedings.
6. PAYMENTS
- The Affiliate will receive commission only for qualified Customers who register and deposit through valid Tracking Links assigned to the Affiliate.
- Commission structures may include Revenue Share, CPA or Hybrid deals, depending on the commercial agreement between the Affiliate and Wiz-Partners.
- Revenue Share is calculated from Net Gaming Revenue generated by referred Customers after deductions such as bonuses, chargebacks, fraud adjustments, taxes, licensing costs and other operational deductions defined in the Agreement.
- Wiz-Partners calculates all commissions based on data recorded in its own tracking systems and reporting platform. These records are considered authoritative and binding unless a proven technical error exists.
- Payments are processed monthly and generally paid before the 20th day of the following month, provided the Affiliate has reached the minimum payment threshold.
- If the minimum threshold is not reached, the unpaid balance is carried forward to the next payment period.
- Payments may be made through bank transfer or other approved payment methods selected by Wiz-Partners.
- The Affiliate is responsible for providing correct payment details and keeping account information updated.
- Wiz-Partners may require KYC verification documents before releasing payments. Failure to provide requested documents may result in delayed or suspended payments.
- All bank fees, transfer charges, exchange costs or third-party payment processing fees may be deducted from the commission amount payable to the Affiliate.
- Wiz-Partners reserves the right to withhold, cancel or reverse commissions connected to fraud, duplicate accounts, self-referrals, chargebacks, bonus abuse, collusion, money laundering concerns or invalid traffic.
- If Wiz-Partners determines that traffic or Customers were generated improperly or in breach of the Agreement, commissions may be forfeited entirely.
- Negative balances may be carried over to future months depending on the commercial agreement in place.
- Wiz-Partners may amend commission percentages, payment models or qualification requirements at its discretion with notice to the Affiliate.
- The Affiliate is solely responsible for declaring and paying any taxes or governmental obligations related to received commissions.
- Any disputes regarding commission calculations or payment reports must be raised within the time period specified by Wiz-Partners, otherwise the reports are considered accepted.
- Wiz-Partners may offset any amounts owed by the Affiliate against future commissions or unpaid balances.
- No interest is payable on delayed, withheld or disputed commission payments.
- In cases of breach of the Agreement, Wiz-Partners may suspend pending payments and permanently confiscate unpaid commissions if necessary.
7. INTELLECTUAL PROPERTY
- Wiz-Partners grants the Affiliate a limited, non-exclusive, non-transferable and revocable right to use certain intellectual property, marketing materials, banners, logos and Tracking Links solely for the purpose of promoting the Sites under the Affiliate Program.
- All intellectual property rights related to Wiz-Partners, the Sites, brands, software, systems, databases, marketing materials and associated content remain the exclusive property of Wiz-Partners or its licensors.
- The Affiliate does not acquire any ownership rights over trademarks, trade names, logos, domain names, content or other intellectual property by participating in the Affiliate Program.
- The Affiliate may only use approved marketing materials provided or authorized by Wiz-Partners and must follow any branding or trademark usage guidelines communicated by the company.
- The Affiliate is prohibited from modifying, copying, reproducing or exploiting Wiz-Partners intellectual property beyond the rights expressly granted in the Agreement.
- The Affiliate may not register or use domain names, social media handles, advertising keywords or other identifiers that include or imitate Wiz-Partners trademarks, brands or confusingly similar variations.
- Any unauthorized use of Wiz-Partners intellectual property may result in immediate termination of the Agreement and possible legal action.
- The Affiliate must immediately stop using all Wiz-Partners intellectual property, promotional materials and confidential assets upon termination of the Agreement or upon request by Wiz-Partners.
- Any goodwill arising from the Affiliate’s use of Wiz-Partners trademarks or branding shall belong exclusively to Wiz-Partners.
- The Affiliate agrees not to challenge, contest or interfere with Wiz-Partners ownership or rights relating to its intellectual property.
8. DATA PROTECTION
- Both the Affiliate and Wiz-Partners agree to comply with all applicable data protection and privacy laws in connection with the Affiliate Program and the processing of personal data.
- Each Party is responsible for ensuring that any personal data collected, processed or transferred under the Agreement is handled lawfully, fairly and securely.
- The Affiliate must implement appropriate technical and organizational security measures to protect personal data against unauthorized access, misuse, disclosure, alteration or destruction.
- The Affiliate may only process personal data for purposes directly related to the performance of the Agreement and must not use such data for unauthorized or unlawful purposes.
- The Affiliate is prohibited from collecting, storing or processing personal data obtained through the Affiliate Program unless legally permitted and necessary for legitimate business purposes.
- Wiz-Partners remains the owner and controller of Customer data generated through the Sites and Affiliate Program.
- The Affiliate must keep all Customer information confidential and may not disclose it to third parties without prior authorization or legal obligation.
- If the Affiliate becomes aware of any data breach, unauthorized access or security incident involving personal data, the Affiliate must notify Wiz-Partners immediately.
- The Affiliate agrees to cooperate with Wiz-Partners in relation to any regulatory requests, investigations or obligations concerning personal data protection.
- Upon termination of the Agreement or upon request by Wiz-Partners, the Affiliate must cease processing personal data and securely delete or return any confidential or personal information received through the Affiliate Program, unless retention is required by law.
- Wiz-Partners may monitor the Affiliate’s compliance with applicable data protection obligations and may request evidence of compliance where necessary.
- Any breach of data protection obligations may result in immediate suspension or termination of the Agreement, withholding of payments and potential legal liability.
9. CONFIDENTIAL INFORMATION
- During the term of the Agreement, both the Affiliate and Wiz-Partners may receive confidential or proprietary information relating to the other Party’s business, operations, systems, customers, marketing strategies, financial information or technology.
- All confidential information exchanged under the Agreement must be treated as strictly confidential and may only be used for purposes directly related to the performance of the Agreement.
- The Affiliate agrees not to disclose, copy, distribute or make available any confidential information to any third party without prior written consent from Wiz-Partners.
- Confidential information may only be shared with employees, contractors or professional advisers who strictly need access to such information for purposes related to the Agreement and who are bound by confidentiality obligations.
- The Affiliate must take appropriate measures to protect confidential information against unauthorized access, disclosure or misuse.
- Confidential information includes, but is not limited to, commission structures, customer data, technical systems, business strategies, reports, financial details, marketing information and any non-public operational information relating to Wiz-Partners or the Sites.
- Information will not be considered confidential where it is already publicly available, lawfully obtained from a third party, independently developed without use of confidential information or required to be disclosed by law or regulatory authority.
- If disclosure is legally required, the disclosing Party should, where legally permitted, notify the other Party before making the disclosure.
- Upon termination of the Agreement or upon request by Wiz-Partners, the Affiliate must immediately stop using confidential information and return or securely destroy all related materials and data.
- The confidentiality obligations survive termination of the Agreement and continue for the period specified under applicable law or the Agreement terms.
- Any unauthorized disclosure or misuse of confidential information may result in immediate termination of the Agreement, legal action and claims for damages or injunctive relief.
10. INDEMNIFICATION
- The Affiliate agrees to fully indemnify, defend and hold harmless Wiz-Partners, its group companies, directors, officers, employees, agents and partners from and against any claims, liabilities, losses, damages, costs or expenses arising from the Affiliate’s participation in the Affiliate Program.
- This indemnification includes claims resulting from:
- breach of the Agreement by the Affiliate;
- violation of applicable laws or regulations;
- misuse of marketing materials, trademarks or intellectual property;
- unlawful, misleading or unauthorized advertising practices;
- data protection or privacy violations;
- fraud, negligence or misconduct by the Affiliate;
- content published on the Affiliate’s websites, platforms or promotional channels; and
- any third-party claims connected to the Affiliate’s activities or marketing methods.
- The Affiliate is responsible for all legal costs, settlements, damages and expenses incurred by Wiz-Partners as a result of such claims or breaches.
- Wiz-Partners reserves the right to participate in the defense of any claim at its own expense and may require the Affiliate to cooperate fully in any legal or regulatory proceedings.
- The Affiliate may not settle any claim affecting Wiz-Partners without prior written consent from Wiz-Partners.
- The indemnification obligations survive termination of the Agreement and remain enforceable even after the Affiliate leaves the Affiliate Program.
11. LIABILITY
- Wiz-Partners does not guarantee that the Affiliate Program, tracking systems, Sites or related services will operate continuously, securely or without interruptions, delays or errors.
- Wiz-Partners shall not be liable for any indirect, special, incidental or consequential damages suffered by the Affiliate, including loss of profits, loss of revenue, business interruption, loss of business opportunities, loss of data or reputational damage.
- The company is not responsible for technical failures, internet interruptions, server downtime, system malfunctions, tracking inaccuracies or any events beyond its reasonable control that may affect the Affiliate Program or commission calculations.
- Wiz-Partners shall not be liable for losses resulting from unauthorized access to the Affiliate’s account, misuse of login credentials or security breaches caused by the Affiliate’s negligence.
- The Affiliate acknowledges that participation in the Affiliate Program is at its own risk and that Wiz-Partners provides the Sites, systems and services on an “as is” and “as available” basis without warranties of any kind unless expressly stated otherwise.
- Wiz-Partners excludes all implied warranties, representations and conditions to the fullest extent permitted by applicable law.
- The total liability of Wiz-Partners arising under or in connection with the Agreement shall not exceed the total amount of commissions paid or payable to the Affiliate during the relevant period specified in the Agreement.
- Nothing in the Agreement excludes liability for fraud, fraudulent misrepresentation or any liability that cannot legally be excluded under applicable law.
- The Affiliate remains solely responsible for its own websites, marketing activities, legal compliance and business operations.
- Any claims against Wiz-Partners must be brought within the contractual limitation period specified in the Agreement, otherwise the claim is considered waived.
12. TERM AND TERMINATOR
- The Agreement becomes effective on the Commencement Date, once the Affiliate’s application is approved by Wiz-Partners, and continues unless terminated in accordance with the Agreement terms.
- Either Party may terminate the Agreement at any time by providing written notice to the other Party in accordance with the notice period established in the Agreement.
- Wiz-Partners reserves the right to suspend or terminate the Affiliate account immediately and without prior notice if the Affiliate breaches any material provision of the Agreement.
Immediate termination may occur in cases including, but not limited to:
- fraudulent activity or suspected fraud;
- breach of applicable laws or regulations;
- misleading or unlawful marketing practices;
- spam or unauthorized advertising;
- intellectual property infringement;
- provision of false or misleading information;
- failure to comply with KYC or verification requirements;
- inactivity or dormant Affiliate accounts;
- actions damaging to the reputation or interests of Wiz-Partners or the Sites.
Upon termination, the Affiliate must immediately stop promoting the Sites and remove all Tracking Links, logos, banners, trademarks and marketing materials related to Wiz-Partners. Any rights granted to the Affiliate under the Agreement automatically terminate upon termination of the Agreement. Wiz-Partners may withhold unpaid commissions during investigations relating to fraud, compliance breaches or suspicious activity. If termination results from the Affiliate’s breach of the Agreement, Wiz-Partners may permanently forfeit unpaid commissions and outstanding balances. The Affiliate is not entitled to compensation, damages or reimbursement for loss of future earnings resulting from termination of the Agreement. Any provisions of the Agreement intended to survive termination, including confidentiality, indemnification, liability and intellectual property obligations, will remain in force after termination. Wiz-Partners may retain Customer data, reports and operational records following termination where required for legal, regulatory or business purposes.
13. AML CLAUSE FOR THE AFFILIATES AND SUB-AFFILIATES
- The Affiliate and any Sub-Affiliates must comply with all applicable anti-money laundering (“AML”), counter-terrorist financing (“CTF”) and sanctions laws and regulations.
- The Affiliate warrants that neither it nor its owners, directors, employees, agents or Sub-Affiliates are involved in money laundering, terrorist financing, fraud or any criminal activity.
- Wiz-Partners reserves the right to perform KYC, AML and compliance checks on the Affiliate and any Sub-Affiliates at any time during the term of the Agreement.
- The Affiliate must provide all documents, information and assistance reasonably requested by Wiz-Partners for AML, identity verification or compliance purposes.
- Failure to provide requested documentation or cooperation may result in delayed payments, suspension of the account or immediate termination of the Agreement.
- The Affiliate must not knowingly generate traffic, Customers or transactions connected to illegal activities, sanctioned individuals, restricted jurisdictions or suspicious financial behavior.
- The Affiliate is responsible for monitoring and ensuring that any Sub-Affiliates also comply with AML and regulatory obligations.
- Wiz-Partners may suspend, withhold or permanently confiscate commissions if it suspects money laundering, fraudulent conduct, sanctions violations or other unlawful activity.
- The company may report suspicious activity to regulatory authorities, financial institutions or law enforcement agencies where legally required or considered necessary.
- The Affiliate agrees to maintain accurate records and cooperate fully with any compliance investigations or audits conducted by Wiz-Partners or competent authorities.
- Any breach of AML obligations is considered a material breach of the Agreement and may lead to immediate termination without compensation.
14. REPRESENTATIONS AND WARRANTIES OF THE AFFILIATES AND SUB-AFFILIATE
- The Affiliate and any Sub-Affiliates represent and warrant that all information provided to Wiz-Partners is true, accurate, complete and not misleading.
- They confirm that they possess the legal authority, capacity and rights necessary to enter into and perform obligations under the Agreement.
- The Affiliate and Sub-Affiliates warrant that they will comply with all applicable laws, regulations, licensing requirements and industry standards relevant to their activities and jurisdictions.
- They undertake not to engage in fraudulent, deceptive, unlawful or unethical conduct in connection with the Affiliate Program.
- The Affiliate confirms that all promotional activities, websites, platforms and marketing practices will comply with advertising regulations and responsible gambling requirements.
- The Affiliate and Sub-Affiliates warrant that they will not target minors, vulnerable persons or individuals located in jurisdictions where gambling promotion is restricted or illegal.
- They confirm that they are not acting on behalf of any person or entity subject to sanctions, criminal investigations or regulatory restrictions.
- The Affiliate warrants that all traffic and Customers generated through its activities will be genuine, lawful and generated through legitimate marketing methods.
- They agree not to use spam, misleading advertising, unauthorized trademarks, false claims or any practices that may damage the reputation of Wiz-Partners or the Sites.
- The Affiliate and Sub-Affiliates represent that they have implemented appropriate compliance, AML and data protection procedures where required by law.
- They warrant that they are not currently involved in any litigation, investigation or enforcement proceeding that could negatively affect their obligations under the Agreement or the reputation of Wiz-Partners.
- Any breach of these representations or warranties may result in immediate suspension or termination of the Agreement, withholding of commissions and possible legal action.
15. RESPONSIBILITIES AND OBLIGATIONS OF THE AFFILIATES AND SUB-AFFILIATES
- The Affiliate and any Sub-Affiliates are responsible for conducting their activities in full compliance with all applicable laws, regulations and licensing requirements.
- They must ensure that all marketing and promotional activities are lawful, transparent, responsible and compliant with advertising standards and gambling regulations.
- The Affiliate is responsible for supervising and monitoring the conduct of any Sub-Affiliates participating under its network or structure.
- The Affiliate must ensure that Sub-Affiliates comply with the Agreement, including AML, data protection, intellectual property and responsible gambling obligations.
- The Affiliate and Sub-Affiliates may only use approved marketing materials, Tracking Links and promotional content authorized by Wiz-Partners.
- They must not engage in misleading advertising, spam marketing, false claims, trademark abuse, cookie stuffing, incentivized traffic or fraudulent traffic generation methods.
- The Affiliate is responsible for ensuring that all information displayed on its websites, social media accounts or marketing channels remains accurate, updated and not misleading.
- The Affiliate and Sub-Affiliates must avoid targeting minors, self-excluded individuals or persons located in restricted jurisdictions.
- They are obligated to cooperate with Wiz-Partners in relation to compliance reviews, audits, KYC procedures and regulatory requests.
- The Affiliate must promptly provide any documents or information requested by Wiz-Partners for verification or compliance purposes.
- The Affiliate is responsible for maintaining the confidentiality and security of account credentials and internal program information.
- Any activity that may damage the reputation, commercial interests or regulatory standing of Wiz-Partners or the Sites is strictly prohibited.
- The Affiliate must immediately cease any activity or remove any content if requested by Wiz-Partners for compliance or regulatory reasons.
- Failure by a Sub-Affiliate to comply with the Agreement may be treated as a breach by the Affiliate itself.
- Any breach of these responsibilities or obligations may result in suspension, termination, forfeiture of commissions and possible legal action by Wiz-Partners.
16. MARKETING AND ADVERTISING GUIDELINES FOR AFFILIATES
- Affiliates must ensure that all marketing, advertising and promotional activities are conducted responsibly, ethically and in compliance with all applicable laws, regulations and advertising standards.
- All advertisements and promotional content relating to Wiz-Partners or the Sites must be truthful, accurate, clear and not misleading in any manner.
- Affiliates may only use marketing materials, logos, banners, trademarks and promotional assets that have been approved or provided by Wiz-Partners.
- Promotional activities must not target individuals under the legal gambling age, vulnerable persons or users located in jurisdictions where gambling advertising is prohibited or restricted.
- Affiliates must include responsible gambling messaging and any legally required warnings, disclosures or age restrictions where applicable.
- Affiliates are prohibited from making false promises, misleading statements or guarantees regarding winnings, bonuses or gambling outcomes.
- Spam marketing, unsolicited communications, deceptive advertising methods and aggressive promotional practices are strictly prohibited.
- Affiliates may not impersonate Wiz-Partners, the Sites or official brand representatives in any advertising or communication.
- Affiliates must not use unauthorized trademarks, copyrighted materials, domain names or social media accounts that imitate or create confusion with Wiz-Partners brands.
- Paid advertising campaigns, including PPC and search engine marketing, must comply with any keyword restrictions and trademark policies imposed by Wiz-Partners.
17. RESPONSIBLE GAMING AND PROTECTIONS OF MINORS AND VULNERABLE GROUPS
- Affiliates must support and promote responsible gambling practices in all marketing and promotional activities related to Wiz-Partners and the Sites.
- All advertising and communications must be directed only toward individuals who are of legal gambling age in the relevant jurisdiction.
- Affiliates are strictly prohibited from targeting minors, vulnerable individuals or persons who may be susceptible to gambling-related harm.
- Marketing materials must not contain content that appeals specifically to children or underage persons, including imagery, language, themes or characters primarily associated with minors.
- Affiliates must not portray gambling as a solution to financial problems, emotional difficulties or personal success.
- Promotional content must not suggest that gambling guarantees income, financial security or social status.
- Affiliates must avoid advertising that encourages excessive, irresponsible or compulsive gambling behavior.
- Any legally required responsible gambling warnings, age restrictions or consumer protection notices must be clearly displayed where applicable.
- Affiliates must comply with all responsible gambling laws, advertising standards and regulatory requirements in the jurisdictions where they operate.
- Wiz-Partners reserves the right to require immediate modification or removal of any marketing content that may violate responsible gambling standards or consumer protection rules.
- Affiliates must cooperate fully with Wiz-Partners in relation to responsible gambling reviews, compliance monitoring and regulatory obligations.
- Any breach of responsible gambling obligations or protections relating to minors and vulnerable groups may result in immediate suspension or termination of the Agreement, forfeiture of commissions and potential legal or regulatory consequences.
18. FAIRNESS AND TRANSPARENCY
- Affiliates must conduct all promotional and business activities related to Wiz-Partners and the Sites in a fair, honest and transparent manner.
- All marketing communications, advertisements and promotional materials must clearly and accurately represent the products, services, bonuses, terms and conditions offered by the Sites.
- Affiliates must not use misleading statements, deceptive claims, hidden conditions or false advertising practices that could confuse or misinform users.
- Any bonus offers, promotions or incentives promoted by the Affiliate must include clear disclosure of the applicable terms, wagering requirements, restrictions and eligibility conditions where required.
- Affiliates must ensure that all information presented to users is current, accurate and regularly updated to reflect any changes made by Wiz-Partners or the Sites.
- The Affiliate may not manipulate rankings, reviews, ratings or comparisons in a misleading manner or falsely represent the quality or performance of the Sites.
- Paid promotions, sponsored content or commercial relationships must be disclosed where required by applicable law or advertising regulations.
- Affiliates must avoid any practices that could be considered unfair competition, deceptive marketing or consumer manipulation.
- Wiz-Partners reserves the right to review, monitor and require modification or removal of any content that does not meet fairness or transparency standards.
- Affiliates must cooperate with compliance reviews and provide information or explanations relating to promotional practices when requested.
- Any breach of fairness and transparency obligations may result in suspension, termination of the Agreement, withholding of commissions and possible legal or regulatory action.
19. ADDITIONAL GUIDELINES SPECIFIC TO MEDIA CHANNELS
- Affiliates must ensure that all marketing activities conducted through specific media channels comply with applicable laws, platform policies, advertising regulations and Wiz-Partners guidelines.
- Promotional activities through websites, blogs, email campaigns, social media platforms, video-sharing platforms, messaging applications or other digital channels must be conducted responsibly and transparently.
- Affiliates using social media must clearly identify promotional content where required and must not impersonate Wiz-Partners, the Sites or official brand representatives.
- Email marketing campaigns must comply with anti-spam laws and may only be sent to recipients who have provided valid consent where legally required.
- Affiliates must not use misleading subject lines, deceptive messaging or hidden advertising techniques in emails or electronic communications.
- Advertising through paid media channels, including PPC campaigns, display advertising or sponsored search results, must comply with trademark and keyword restrictions imposed by Wiz-Partners.
- Affiliates are prohibited from creating fake reviews, fake testimonials or misleading comparison content across any media channel.
- Influencer marketing, streaming content or video promotions must clearly disclose commercial relationships and comply with responsible gambling obligations.
- Affiliates must ensure that content published through mobile applications, social media accounts or third-party platforms does not target minors or vulnerable individuals.
- Any user-generated content or community engagement managed by the Affiliate must be monitored to ensure compliance with applicable regulations and Wiz-Partners standards.
- Wiz-Partners reserves the right to prohibit or restrict the use of certain traffic sources, advertising platforms or media channels at its discretion.
- Affiliates must promptly remove or modify content upon request by Wiz-Partners if such content is considered non-compliant, misleading or harmful to the reputation of the Sites.
- Any violation of media channel guidelines may result in suspension of campaigns, withholding of commissions, termination of the Agreement and possible legal consequences.
